Effective Date: January 12, 2025

This Podcast & Media Release Agreement (“Agreement”) governs participation in any media produced by Black Expertise (“Company,” “we,” “our,” or “us”), including but not limited to podcasts, interviews, video content, live streams, social media content, events, and promotional materials (collectively, “Media Content”).

By participating in any Media Content, you (“Participant,” “you,” or “your”) agree to the following:

1. Consent to Record & Use

You grant Black Expertise the irrevocable right to:

• Record your voice, likeness, image, and appearance
• Capture your name, business name, brand assets, and submitted materials
• Use, reproduce, distribute, publish, and display the Media Content

This includes use across:

• Websites and landing pages
• Podcasts and streaming platforms
• Social media channels
• Marketing, advertising, and promotional campaigns
• Educational products and paid content

2. Ownership & Rights

All Media Content produced by Black Expertise is the sole property of Black Expertise.

You acknowledge:

• You do not own the final edited content
• You are granted a non-exclusive right to share and promote the content for your own marketing purposes
• You may not sell, license, or alter the content without written permission

3. Editing & Creative Control

Black Expertise reserves full editorial control, including the right to:

• Edit, modify, or shorten recordings
• Combine your content with other media
• Use excerpts, quotes, or clips for promotion

We are not obligated to use or publish any submitted or recorded content.

4. No Compensation

Unless otherwise agreed in writing:

• Participation is voluntary
• You will not receive monetary compensation, royalties, or residuals
• Exposure, promotion, and visibility are the primary benefits

5. Representation & Warranties

You confirm that:

• You have the legal right to participate and grant this release
• Any content, statements, or materials you provide are accurate and not misleading
• You own or have permission to use all submitted materials (logos, images, music, etc.)

You agree not to submit or share:

• Copyrighted materials without permission
• Defamatory, unlawful, or harmful content

6. Release of Liability

You release Black Expertise and its team from:

• Any claims related to the use of your likeness, voice, or content
• Any perceived or actual damages arising from publication or distribution
• Any claims for compensation, approval, or royalties

7. No Guarantees

Black Expertise does not guarantee:

• Audience reach, views, or engagement
• Business outcomes, sales, or conversions
• Specific publishing timelines

8. Confidentiality

Unless explicitly agreed:

• All interviews and recordings are considered public-facing content
• Do not share confidential or sensitive information during recordings

9. Withdrawal

Once Media Content is recorded and/or published:

• You may not revoke or withdraw consent
• Black Expertise is not obligated to remove published content

10. Indemnification

You agree to indemnify and hold harmless Black Expertise from any claims arising from:

• Your statements or representations
• Materials you provided
• Breach of this Agreement

11. Governing Law

This Agreement shall be governed by the laws of the United States and the State of Maryland.
